Legal basis
Investment and company formation are governed by the Investment Law No. 143/2025/QH15 (effective 1 March 2026, replacing Investment Law No. 61/2020/QH14) and the Enterprise Law No. 59/2020/QH14 (amended and supplemented by Law No. 03/2022/QH15 and Law No. 76/2025/QH15) and related guiding documents.

Can a foreign investor own 100% of the capital?
It depends on the business line. Many lines allow 100% foreign ownership, while some are conditional or limit the ownership ratio under commitments and current regulations.
How long does it take to set up an FDI company?
Usually a few weeks depending on the business line and file, including the investment registration certificate and enterprise registration steps. The timeline is for reference and may change.
Do I need an office/address in Vietnam?
Yes. A company needs a lawful registered head-office address in Vietnam to register. We advise on a suitable option for each case.
